1. Acceptance of Terms

By accessing or using the KABYTE TECHNOLOGIES website or engaging our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained on this website are protected by applicable copyright and trademark law.

4. Intellectual Property

Upon receipt of full payment, the client receives ownership of the final deliverables as agreed in the project agreement. KABYTE TECHNOLOGIES retains:

• Ownership of all proprietary tools, frameworks, and methodologies used in delivery
• The right to display completed work in our portfolio and marketing materials, unless the client requests confidentiality in writing
• Copyright over any materials not fully paid for

5. Client Responsibilities

To ensure successful project delivery, clients are responsible for:

• Providing accurate, complete, and timely materials, content, and feedback
• Ensuring they have the right to use any third-party content (images, text, logos) provided to KABYTE TECHNOLOGIES
• Reviewing and approving deliverables within the agreed timeframes
• Maintaining backups of their own data and systems
• Complying with all applicable laws in their use of delivered products

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This obligation survives the termination of the project. KABYTE TECHNOLOGIES will not disclose client project details to third parties without written consent, except as required by law.

7. Limitation of Liability

To the fullest extent permitted by law, KABYTE TECHNOLOGIES shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services. Our total liability to any client for any claim arising from a project shall not exceed the total amount paid by the client for that specific project.

8. Warranties & Disclaimers

KABYTE TECHNOLOGIES warrants that our services will be delivered with reasonable skill and care. However, we do not warrant that:

• Services will be uninterrupted or error-free at all times
• Third-party services or APIs integrated into your project will remain available or unchanged
• Search engine rankings will improve as a result of our work
• Specific business outcomes or revenue targets will be achieved

9. Termination

Either party may terminate a project engagement with 14 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. KABYTE TECHNOLOGIES will deliver all completed work upon receipt of outstanding payments. We reserve the right to suspend or terminate access to our services immediately if we believe a client is in material breach of these terms.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the competent courts of Kaduna State, Nigeria.

11. Changes to Terms

KABYTE TECHNOLOGIES reserves the right to update or modify these Terms of Service at any time without prior notice. Changes will be effective immediately upon posting to the website. Your continued use of our services following any changes constitutes your acceptance of the revised terms. We encourage you to review these terms periodically.
